Terms and Conditions
DEFINITIONS:
"MFMP" means Motion Fish Media Project CIC
"Services" means any services or products provided by Motion Fish Media Project.
"Client" means the buyer or customer provided with the services.
FORMATION OF CONTRACT
All goods and services sold/provided by MFMP are supplied subject to these conditions, which shall be the sole terms, and conditions of any sale or supply by MFMP to the buyer. No representative, agent or sales person has MFMP's authority to vary, amend or waive any of these conditions on behalf of MFMP and no amendment or addition to any of them shall be deemed to have been accepted unless accepted in writing by MFMP.
The buyer may not transfer its rights or obligations under this contract to any other person, firm or company.
OWNERSHIP, IPR AND COPYRIGHT
MFMP retain all intellectual property rights and copyright unless otherwise stated in writing.
MFMP retain ownership of all goods until they have received payment in full.
CHARGES
MFMP reserves the right to amend costs, if reasonable to do so.
The buyer will be notified before the work is completed.
Where applicable, VAT will be charged at the rate in force at the time of invoicing.
On the majority of projects, a 'draft 'version of the production will be forwarded to the Client for
their review. This draft may receive two sets of minor revisions only, which is included in the
original agreed cost. Subsequent revisions thereafter or a major re-edit will incur an additional
daily rate of £250.00 per part day or part thereof.

Project feedback will be received within one calendar month from the date the first draft is sent to client. If after one month the client has not yet sent feedback on 'drafts', the project will be temporarily archived, the 'completion' invoice will be settled and a £250 fee will be incurred for any future amendments to the video.

If additional edits are requested after the video has been signed off a £250 fee will be incurred in addition to the editing time required for the amendments.

DEPOSIT AND STAGED PAYMENTS
Filming projects:
On projects with a total value of £401 and over the following payment plan is effective:
25% deposit is required to start the project
50% payable on completion of filming.
25% payable on completion of the project and presentation of the project to the client.
Projects other than filming will require a 50% deposit with the balance due on completion. In all cases the cleared amount of the deposit is required to be received before starting the project.
Where the project involves work over a number of months, MFMP reserve the right to invoice at the end of each calendar month for the proportional cost as agreed.
All payments must be received in full by MFMP within seven (7) days of the invoice date. Until the receipt of full cleared payment to MFMP the account will be considered as outstanding. After twenty one (21) days if payment is still not received all projects will be 'archived' and there will be an additional £250 pound reactivation fee to restart and complete work.

We hold the right to charge 10% interest on all outstanding invoices.
Please note that as we are a not for profit company, late payment may cause us to stop work on the project until payment is received.
CANCELLATION CHARGES
MFMP reserve the right to charge up to 100% of fees for crew time and expenses including refreshments where filming is cancelled within 48 hours of a shoot start time.
Where costs in either time or money have already been incurred, MFMP reserve the right to charge up to 100% of the original quoted price, if a quotation is accepted and subsequently cancelled by the buyer.
Payment of the first staged payment is confirmation of acceptance of the terms and conditions of the quotation. Please also note 'Liability' section.
LIABILITY
MFMP will not be liable for:

Any fault in their products caused by improper use.

Misuse of anything whatsoever by the client, their employees or agents.

Failure to provide service or product caused by events outside their reasonable control.

The impact of weather or other circumstances beyond their control.

Any loss or corruption of data, or damage to persons or property arising from the use of MFMP products or services.

Any delay in or failure to perform any of its obligations under the contract if the delay or failure if caused by circumstances outside their control.

Any consequential loss (including loss of anticipated profits or third-party claims).

Any crowdfunding videos produced or advice given by MFMP on crowdfunding, the Client acknowledges that, in giving any opinion, advice in the course of provision of the Services, MFMP will not be liable for income losses, crowdfunding losses or campaign outcome.
If filming is cancelled within 48 hours of a shoot due to circumstances beyond the control of MFMP, the client will still be liable for the cost of the full days shoot.
All recommendations and advice given by or on behalf of MFMP are given for guidance only.
COURIERS:
Will be charged at cost plus 10% to cover administration, handling and booking.
QUOTATIONS:
Are valid for 30 days from the date of the quotation. While we make every effort to ensure they do not occur, errors and omissions are excluded.

Consultations Only

This agreement is made between Jonathan Rose, The Shed, Chester Street Manchester M1 5GD who will be referred to as the “Consultants”, and the Client buyer or customer provided with the services.
Terms and Conditions

This agreement will commence on the date of the one-off virtual call, phone call or meeting, whichever is first and run for 3 or 6 months from that date.

The 1:1 Online Course Creation Mentorship 3 month package includes two virtual business growth meetings a month lasting approximately one hour each, plus email support.

The 1:1 Online Course Creation Mentorship 6 month package includes one virtual business growth meeting a month lasting approximately one hour each, plus email support.

If the single payment is chosen the full payment is required in full, 48 hours prior to first meeting or call.

If the payment option is chosen payment is required one week prior to each meeting (online or off).

It is the client’s responsibility to notify Jonathan Rose 48 hours in advance in the event of a meeting cancellation.

This agreement entitles the client to meet with Jonathan Rose as agreed and outlined in the proposal for a continuous 3 or 6 months (or based on the timeline outlined in package chosen) with a maximum of 3 cancellations during that period.

Confidentiality - on the subject of the Client supplying information, business plans and/or copies of any documents during the course of the Consultants’ involvement with the Client, the Consultant hereby confirms as follows:
a.The consultants will not use the information for any purpose other than in connection with the Consultants’ involvement with the client and on its behalf.
b. The consultants shall keep all information secret and confidential. The company shall not, without consent of the Client, communicate or allow to be communicated any confidential information to anyone, except as otherwise authorised by the Client.
7. Copyright - the copyright of any materials supplied by the Consultants, is owned by the consultants. No part of the materials may be reproduced, transmitted or shared in any form or by any means, electronic, mechanical,
photocopying, recording, or otherwise, without prior written permission of the Consultant.
8. The acceptance of the proposal sent indicate acceptance of the terms, details, and conditions in the agreement and provide approval to begin the work as specified.
9. Our business relies on having happy clients who are willing to recommend us to others. We will work very hard to ensure that we meet your business needs and if at the end of our agreement you are satisfied with our work, we kindly ask that you send us a brief note to that effect so we can share your views with others.
